Terms of Use

2. Definitions

In these Terms:

• "Website" means g-group.vn, its subdomains, mobile and web applications, and related services operated by G-Group.
• "Content" includes all text, images, videos, audio, icons, source code, databases, trademarks, service marks, interface, layout, and other intellectual property appearing on the Website.
• "Member Company" includes Tima, Gpay, G98, VSEC, G-Innovations, Gapo Work, GTV, G-Solution, BEAT Network, and other entities within the G-Group ecosystem from time to time.
• "You" or "User" means the individual or organization accessing or using the Website.
• "User Content" means any information you submit to us through the Website, including but not limited to contact forms, job applications, emails, and feedback.

3. Scope of Use

The Website is intended to provide information about G-Group and its ecosystem of member companies, facilitate partnerships, support recruitment, receive cooperation inquiries, and serve as an official communication channel.

You agree to use the Website only for lawful purposes, consistent with Vietnamese public order and morals, and in compliance with these Terms. We reserve the right, but are under no obligation, to monitor activity on the Website and to restrict, suspend, or terminate access for any user who violates these Terms.

4. Eligibility

To use the Website, you must:

• Be at least 16 years of age, or have the consent and supervision of a parent or legal guardian if younger.
• Have full civil capacity under applicable law.
• Provide accurate, complete, and current information when using forms or features that require input.
• Not impersonate any individual or organization, and not misrepresent your relationship with any person or entity.

5. Intellectual Property

All Content on the Website, including but not limited to the "G-Group" logo, trade names, icons, interface, design, images, videos, text, source code, databases, documents, and other intellectual property, is owned by G-Group or licensed to G-Group for use. All rights not expressly granted in these Terms are reserved.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and view the Content for personal, non-commercial purposes. Nothing in these Terms shall be construed to grant you any intellectual property rights in the Content.

You agree not to engage in any of the following without our prior written consent or that of the legitimate rights holder:

• Copying, distributing, publishing, broadcasting, transmitting, publicly displaying, performing, modifying, or creating derivative works from the Content.
• Reverse engineering, decompiling, or disassembling source code, platforms, or application programming interfaces.
• Using any automated tools (bots, spiders, scrapers) to collect data from the Website beyond what is permitted by the robots.txt file and official announcements.
• Removing, obscuring, or altering any intellectual property, trademark, or attribution notices on the Content.

Short quotations and linking to the Website for non-commercial purposes with clear attribution are permitted without prior approval.

6. Prohibited Conduct

When using the Website, you undertake not to:

• Violate Vietnamese law or applicable international law.
• Threaten national security or public order; disseminate content that undermines the State of the Socialist Republic of Vietnam.
• Transmit or distribute content that is violent, pornographic, discriminatory, defamatory, harassing, or fraudulent.
• Infringe on intellectual property rights, privacy, honor, dignity, or reputation of any individual or organization.
• Upload, send, or disseminate viruses, malware, spyware, or files that could damage systems.
• Carry out denial-of-service attacks, unauthorized vulnerability scans, or unauthorized access to restricted areas.
• Use the Website to send spam or unsolicited bulk communications.
• Provide false information, impersonate others, or impersonate employees of G-Group or its Member Companies.
• Probe or exploit Website vulnerabilities without prior written permission.
• Create accounts or submit forms at volume through automated tools.
• Use the Website for unfair competition or clandestine benchmarking intended to replicate similar services.

We reserve the right (but have no obligation) to investigate violations, report them to competent authorities, and apply legal and technical measures as appropriate.

7. User Content

When you submit User Content through the Website (including job applications, contact messages, or partnership proposals), you:

• Represent that the Content is accurate, does not infringe the rights of any third party, and complies with applicable law.
• Grant G-Group and its Member Companies a non-exclusive, royalty-free, worldwide, sublicensable license to use the Content for the purposes stated at collection (e.g., evaluating job applications, responding to inquiries, pursuing partnerships).
• Accept full responsibility for the Content and any legal consequences arising from it.

G-Group is under no obligation to review, edit, or retain User Content, and reserves the right to refuse, remove, hide, or block any Content we believe violates these Terms or the law.

8. Third-Party Links and Services

The Website may contain links to third-party websites, applications, or content, including those of Member Companies, partners, and media organizations. These links are provided for your convenience only. G-Group does not endorse, warrant, or accept responsibility for the content, products, services, privacy practices, or behavior of any third party.

Your access to and use of third-party links is at your own risk, and is governed by the terms and policies of those third parties.

9. Disclaimer of Warranties

The Website and its Content are provided "as is" and "as available." To the maximum extent permitted by law, G-Group disclaims all representations and warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, continuity, freedom from error, or absence of viruses.

G-Group does not warrant that:

• The Website will always be available, uninterrupted, timely, absolutely secure, or error-free.
• Information on the Website is completely accurate or up-to-date at all times.
• Defects, if any, will be corrected.
• The Website or its servers are free of viruses or other harmful components.

You understand and agree that any downloading or receipt of Content from the Website is at your own discretion, and you are solely responsible for any damage to your computer system or loss of data that results.

10. Limitation of Liability

To the maximum extent permitted by law, G-Group, its Member Companies, officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or loss of business opportunity, whether or not we were advised of the possibility of such damage, arising out of or relating to:

• Your use of or inability to use the Website.
• Any modification, suspension, or termination of the Website or any part thereof.
• Unauthorized access to or alteration of your data or information by third parties.
• The conduct or content of any third party on the Website.
• Any other matter relating to the Website.

Our maximum aggregate liability to you arising out of or in connection with the Website, these Terms, or any claim shall not exceed the amount you paid to G-Group in the twelve (12) months preceding the claim, or one million Vietnamese Dong (VND 1,000,000), whichever is greater. Where applicable law does not permit such limitation, our maximum liability shall be the lowest amount permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless G-Group, its Member Companies, officers, employees, and agents from and against any claims, demands, losses, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your breach of these Terms or any referenced document.
• Your violation of applicable law or the rights of any third party.
• User Content that you submit through the Website.
• Your misuse of the Website.

G-Group may, at its discretion, assume the defense and control of any matter for which you owe indemnification, at your expense; you agree to cooperate fully in such defense.

12. Privacy

Our processing of your personal data through the Website is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Website, you acknowledge that you have read, understood, and agreed to the Privacy Policy.

13. Modifications

G-Group may modify these Terms at any time, and changes take effect upon posting on the Website unless otherwise stated. The latest version is always marked with its effective date.

For material changes that may significantly affect your rights or obligations, we will make reasonable efforts to notify you by email (where available) or through a prominent notice on the Website at least seven (7) days before the change takes effect. Your continued use of the Website after the effective date constitutes acceptance of the modified Terms.

14. Suspension and Termination

We may, at our sole discretion, suspend or terminate your access to the Website or any part of it, with or without notice, for any reason, including but not limited to violation of these Terms, violation of law, or posing a risk to G-Group, other users, or third parties.

Termination does not affect rights or obligations accrued prior to termination. Provisions concerning Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and other provisions that by their nature should survive, will survive termination.

15. Force Majeure

G-Group shall not be liable for delay or failure to perform due to causes beyond our reasonable control, including natural disasters, epidemics, war, terrorism, riots, strikes, power outages, Internet infrastructure failures, large-scale cyberattacks, decisions of government authorities, and similar circumstances.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-laws rules.

Any dispute or claim arising out of or relating to these Terms or your use of the Website shall first be resolved by good-faith negotiation and mediation within thirty (30) days. If no resolution is reached, the dispute shall be submitted to the competent People's Court in Hanoi, Vietnam.

17. Miscellaneous

• Entire agreement: These Terms, together with the Privacy Policy and any applicable supplemental terms, constitute the entire agreement between you and G-Group regarding your use of the Website, and supersede all prior agreements on the same subject.
• Severability: If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to be enforceable, and the remaining provisions shall remain in full force.
• No waiver: Our failure to enforce any right or provision at any one time shall not be deemed a waiver of such right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. G-Group may assign freely.
• Language: These Terms are executed in Vietnamese with an English reference translation; in case of conflict, the Vietnamese version prevails.
